Referral Programme Terms

These terms govern the referral bounty Silven Dynamics ("Mittr", "we") pays to a person or business who introduces a paying customer ("you", "the Referrer"). Mittr™ is a product of Silven Dynamics. Accepting a referral code, or sharing a referral link, means accepting these terms. The programme is invite-only.

1. What is being offered

1.1 We pay a one-off cash bounty for each new customer who signs up through your referral link and then pays for a qualifying plan.

1.2 The bounty is a fixed amount per plan. It is the same whether the customer pays monthly or annually, because you made the same introduction either way:

1.3 The rate card is 20% of the customer's first-year value at the list monthly price, subject to a $50 minimum. The amounts above are the operative figures; the percentage is stated only to explain how they were derived.

1.4 Free and Enterprise plans do not carry an automatic bounty. Free customers pay nothing. Enterprise and other negotiated arrangements are priced per deal, so there is no list price to take a percentage of; those are settled individually by agreement, in writing, before the introduction.

1.5 The bounty is one-off, not recurring. It is paid once per referred customer and does not repeat on renewal.

2. When a referral is attributed to you

2.1 A referral is attributed when a visitor arrives via your referral link and creates a workspace. Your link itself does not expire.

2.2 The first code wins. If a visitor has already arrived through another Referrer's link, that earlier attribution stands. We do not reassign on a later visit.

2.3 One referral per workspace, ever. A workspace that has already been attributed cannot be attributed again, to you or anyone else.

2.4 Attribution is fixed at the moment the workspace is created and is not revised afterwards, including if the customer later changes plan, cancels, or signs up again.

2.5 We record attribution automatically, by storing your code in the visitor's browser for 90 days from the moment they arrive. If it fails for any reason, including the visitor blocking or clearing cookies, using a different device or browser, or signing up more than 90 days after their visit, no referral exists. We do not reconstruct attribution after the fact.

3. When a bounty becomes payable

3.1 A referral becomes payable only when all of the following are true:

3.2 The ninety-day hold applies equally to monthly and annual plans.

3.3 A referral that fails any condition in 3.1 is void and no bounty is payable.

3.4 A bounty is calculated from the plan the customer is actually on at the end of the hold, not the plan they started on.

4. When no bounty is payable

5.1 If a referred customer refunds, charges back, or is found to have been obtained in breach of section 4 after a bounty has been paid, we may recover that bounty.

5.2 We may recover it by offsetting against bounties otherwise payable to you, or by invoicing you for it, at our election. Where we offset, we will tell you what was offset and why.

5.3 This right applies for twelve (12) months from the date of payment.

6. How and when we pay

6.1 Payouts are made manually, on request or on a periodic run, in the currency and by the method recorded against your referral code.

6.2 We may set a minimum payout threshold and hold balances below it until they are exceeded. Where we do, we will tell you the threshold.

6.3 You are responsible for giving us accurate payment details. We are not liable for a payment sent correctly to details you supplied.

6.4 We will provide a statement showing which referrals a payment covers.

7. Tax

7.1 You are responsible for your own tax. The bounty is paid gross, and you must declare and pay any income, sales or other tax arising on it.

7.2 You are not our employee, agent, partner or joint venturer. Nothing in these terms creates any of those relationships.

7.3 We do not withhold tax from your bounty, except where the law requires us to. Withholding is a statutory obligation rather than a choice, so if we are required to withhold on a payment to you we will do so, tell you the amount, and provide whatever certificate the law requires. In every other case you receive the full amount.

7.4 You may be asked to provide a tax identification number, or equivalent, before we can pay you.

8. What you may and may not do

8.1 You may describe Mittr accurately, link to it, and share your referral link.

8.2 You may not: claim to be Mittr or to speak for us; make representations about the product beyond our published material; offer your own guarantees, discounts or refunds on our behalf; bid on our brand name in paid search; or send unsolicited bulk messages.

8.3 You may not use our name, logo or marks in a way that suggests partnership, endorsement or employment, without our written consent.

9. Changes, suspension and ending

9.1 We may change the rate card or these terms. Changes apply to referrals attributed after the change; a referral already attributed is paid on the terms in force when it was attributed.

9.2 We may retire your referral code at any time. Retiring a code stops new attributions. It does not affect referrals already attributed, which continue through the hold and are paid if they qualify.

9.3 We may suspend payouts and withhold a bounty while we investigate a suspected breach of section 4. We will tell you that we are doing so.

9.4 We may end the programme entirely on 30 days' notice. Referrals attributed before the end date are honoured.

10. Disputes about attribution

10.1 Our records of attribution are what we act on. They record which code was used, when the workspace was created, and every change of status with its reason.

10.2 If you believe a referral was missed or misattributed, raise it within 60 days of the workspace being created, at [email protected]. We will look at what our records show and explain the outcome.

10.3 We are not able to attribute a referral retrospectively where no record exists, and we do not resolve competing claims by taking one party's word over another's. Section 2 exists to make that unnecessary.

11. Liability

11.1 Our total liability under these terms is limited to the bounties properly payable to you and unpaid.

11.2 We are not liable for lost opportunity, lost commission on referrals that did not qualify, or any indirect loss.

11.3 Nothing here limits liability that cannot lawfully be limited.

12. General

12.1 These terms are governed by the laws of the Republic of Kenya, and the courts of Kenya have exclusive jurisdiction.

12.2 If any provision is unenforceable, the rest continues in force.

12.3 You may not assign your rights under these terms without our written consent.
